My G/f''s Phone (Razr Maxx HD) was asked to update late night.
I know that it us slated to move to the Kitkat v4.4 but asmuch as she
likes her phone the way it is, i don't want to upgrade.
How can i stop it completely????

I can understand your GF wanting to keep her phone on the current OS version that it is on, Irishe. Especially when you are used to it! Unfortunately, the phone will eventually update to the latest software available. The best that can be done is to keep canceling the upgrade request, or saying no to it when it is next offered.
Is there a particular reason that she does not want to update to kitkat?

Mainly due to all the issues that have come with most of the
updates that have happened on other phones. i wasn't too happy
when my samsung s4 updated but i got used to and delt with it.
Well since don't have a choice in the matter i guess the only options
would be to install our own OS version or just deal with what comes up with
the update..

Don't think that's an option unless you do something illegal to your device, which is highly frowned upon here.

I do not know how but sure would like to. kitkat trashed my phone, Motorola replaced it now 4 days later it is trying on my new phone. I hate kitkat what a pain it has been, the bad thing when I called about the problems they knew about it.

I've looked high and low and the only way I've found to postpone the update indefinitely is to constantly accept and then delete the update -- there does not appear to be a one-shot method of blocking the update. The way to do this is:
1) accept the update
2) after it downloads, be certain to select INSTALL LATER
3) power off
4) restart in safe mode (hold down Power + Volume Up + Volume Down)
5) click volume down once to move selection to Recovery and then click volume up once to select Recovery. Screen will go black for a few moments and then you'll get the busted Android image.
6) Hold the Volume Down for a second and THEN hold the Volume Up. This will get you to a Recovery screen.
7) Click Volume Down to select Wipe Cache Partition and then click the Power button to select. BE CAREFUL on this step to not select "Wipe Date/Factory Reset" ! ! !
๐ Click Power button on Reboot System Now
Congratulations, you've just bought yourself a few more days of avoiding the KitKat update. (removed), right? But if you're willing to endlessly do this, you will postpone the update indefinitely without having to do something potentially nasty with your operating system.

ps...for step #6 above, you need to press and hold Volume Down for a second and then, while STILL holding Volume Down, press and hold Volume Up.
Also, freezing or disabling the Updater app will do nothing...I've tried and it'll block you from downloading things you might want, but will do nothing to stop the KitKat update
