Try a system Hard Reset and then install update, this happens from time to time because of issues with installed apps..
- Power the device off.
Press and hold the Power button then select Power off.
If the device isn't responding to input, remove / replace the battery.
- Press and hold the Home key then power the device on.
Press the Power button while holding Home.
- From the Android Recovery screen, press Volume Up / Down simultaneously.
- Select wipe data / factory reset then press the Power button.
- Select Yes -- delete all user data then press the Power button.
Reset process to may take approximately 1 minute.
- Ensure reboot system now is selected then press the Power button.

Try clearing the cache first.... and see if that gets the update to install.
Otherwise a factory reset might be what you need to get it done. A factory reset will reset the phone back to when it first came out of the box (the software update will be there), but you will need to set the phone back up, reload all your apps.
To access the menu to do either the clear cache or factory reset:
- Shut the phone off
- Holding down the 'Home' key, press and hold the power button until you see the red M.
- Holding down the Home key, release the power button. When you see Andy with the triangle, release the home key
- Press the volume up/down buttons AT THE SAME TIME to access the menu.
- Using the volume keys to highlight the different items in the menu.
- When you have clear system cache or factory reset highlighted, press the power button to select.
- If you selected clear cache, after the cache is wiped, you will need to select the restart menu item
- if you selected factory reset, the phone will restart on its own. REMEMBER that a factory reset will wipe all your data.
Hope this works with clear cache, since the factory reset is extreme... but sometimes extreme will be the only remedy that works.
