Thanks for help. I have found this link http://answers.microsoft.com/en-us/winphone/forum/wp7-sync/access-denied-error-installing-windows-ph...

and this link http://www.eventid.net/display.asp?eventid=4373&eventno=2806&source=NTServicePack&phase=1. Following the instructions to change HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\Windows NT\CurrentVersion\SvcHost
permission to full for admins. It works now!!!

Check your XP version. Zune software only works with SP3 (service pack 3) and newer.  Also, you do have to install the Zune software; the file you downloaded is simply an installer file. Sorry if i'm stating the obvious if you have indeed installed it, but just in case. If not, make sure you run the installer file, and then follow the set up. Help for properly installing Zune software can be found on the Zune website. Once that is done, it should be working properly; i don't remember having to install any other drivers or anything of the sort.
