How do I get iOs 9.2.1?

I received a replacement phone for my 5s and i cant restore from the cloud because it doesn't have the right version of iOs  how do I load the new version on if I cant use the phone

Updating your devices software is easy with iTunes. Take a look here to see how https://support.apple.com/en-us/HT204204. Although, to be sure what software version is currently on your iPhone? Check by going to Settings, General, & About.
